Terms and Conditions

These Terms and Conditions (the "Terms") are an agreement between Allmata ("Allmata", "we", "us") and the business or person using Allmata ("you"). By creating an account or using the Service you agree to these Terms. If you use Allmata for a company, you confirm you may bind it to these Terms.

1. The Service

Allmata provides AI roles (for example a Bookkeeper or Customer Service) that connect to tools you choose, learn from your data, prepare work as decision cards, and carry out actions you approve (the "Service"). Allmata is not a ledger, bank, payment processor, ad platform or website host; your systems of record stay where they are.

2. Accounts and team members

• You must be at least 18 and use the Service for business purposes.
• Keep your sign-in secure. You are responsible for activity in your account, including by team members you invite.
• You decide which companies and roles each team member can access.

3. Free trial

New accounts get a 14-day free trial of the Service for one company, with all roles and $10 of AI usage included. No payment card is required, and nothing is charged automatically when the trial ends. During the trial, nothing changes in your connected tools without your approval. We may limit or end trials that are abused. Trial features and the included AI amount may change for new trials.

4. Plans, AI usage and payment

• Paid plans are billed in advance, monthly or yearly, at the prices shown on our Pricing page when you subscribe. Yearly billing costs 10 times the monthly price.
• Each plan includes a monthly amount of AI usage. Usage above it is billed at the AI provider's cost plus 20%, and both numbers are shown for every run. When the included amount is used up, AI work pauses unless the account owner raises the monthly cap.
• Founding member pricing (40% off for 24 months, and double the included AI for the first 3 months) applies to the first 100 accounts and to the plan subscribed to while it applies.
• Prices exclude taxes, which you are responsible for. We may change prices with at least 30 days' notice before your next renewal.
• Refunds are covered by our Refund Policy.

5. Your data

• You own the data you connect or upload ("Customer Data"). You give us permission to access, process and store it only to provide and secure the Service for you, as described in our Privacy Policy.
• You confirm you have the rights and permissions needed to connect each third-party account and to let Allmata process its data, including any personal information of your customers.
• We do not use Customer Data to train AI models, and we do not sell it.
• You can export or delete your data, and disconnect any tool, at any time.

6. Approvals and your responsibility

Connections start read-only. Allmata changes data in a connected tool only after you, or a team member you authorized, approve that specific action, or after you switch on autonomy for a kind of task. You are responsible for actions you approve or allow to run on their own.Review cards before approving them, especially those involving money, messages to customers or anything that cannot be undone.

7. AI output and no professional advice

AI can be wrong. Recommendations, drafts, categorizations and reports are prepared to help you decide; they are not guaranteed to be accurate or complete. Allmata does not provide accounting, tax, legal, financial or investment advice. Your licensed professionals (for example your tax preparer) remain the authority on those matters.

8. Third-party services

The Service works with third-party tools that are governed by their own terms. We are not responsible for their availability, accuracy or changes, and a connection may stop working if a provider changes or revokes access.

9. Acceptable use

You agree not to:

• break the law, infringe others' rights, or connect data you have no right to use;
• use the Service to send spam, deceive people, or make decisions about individuals that require human review by law without that review;
• probe, attack or overload the Service, or get around its limits or safety controls;
• copy, resell or reverse-engineer the Service, except as the law allows.

10. Our property and feedback

Allmata, its software, design and brand belong to us. These Terms give you a limited, non-transferable right to use the Service during your subscription. If you send feedback, we may use it without obligation to you.

11. Confidentiality

Each of us will protect the other's non-public information with reasonable care and use it only for the purposes of these Terms.

12. Suspension and termination

You can cancel anytime in the app or by emailing us; cancellation takes effect at the end of the current billing period. We may suspend or end access for non-payment, a material breach or a security risk, with notice where reasonable. After termination, you can export your data for 30 days, after which we delete it as described in the Privacy Policy.

13. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.

14. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data, and each party's total liability under these Terms is limited to the amounts you paid us in the 12 months before the claim.

15. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Data you connect without the necessary rights, or from your breach of these Terms.

16. Governing law and disputes

These Terms are governed by the laws of the United States and of the state in which Allmata is organized, without regard to conflict-of-law rules.

17. Changes

We may update these Terms. We will post changes here and, for material changes, tell account owners at least 30 days before they take effect. Continuing to use the Service after that means you accept the new Terms.
